1. Acceptance of Terms

By accessing or using ShopBrain's platform, website, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (whether individually or on behalf of an entity) and Seamlabs Technology ("ShopBrain," "we," "us," or "our"), a company registered in Egypt.

2. Description of Service

ShopBrain is an AI-powered Food & Beverage (F&B) operations platform designed to help restaurants and food service businesses streamline their operations. The Service includes, but is not limited to:

  • Inventory management and real-time stock tracking across multiple branches.
  • Procurement and supplier management, including purchase orders and supplier communications.
  • Production planning, recipe management, and butchering modules.
  • Real-time accounting, financial reporting, and cost analysis.
  • AI-driven sales forecasting and demand prediction.
  • AI Agents that automate operational tasks, provide insights, and assist with decision-making.
  • Reports and analytics dashboards for comprehensive business insights.
  • Mobile application for on-the-go access to platform features.

3. Account Registration & Security

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials, including your password.
  • All activities that occur under your account, whether authorized by you or not.
  • Notifying us immediately at support@shopbrain.co if you suspect any unauthorized access or security breach.
  • Ensuring that all users within your organization who access the platform comply with these Terms.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Subscription & Payment Terms

Access to the Service requires a paid subscription. By subscribing, you agree to the following:

  • Subscription plans are available on monthly or annual billing cycles. Annual plans may offer discounted rates.
  • All prices are listed in Egyptian Pounds (EGP) unless otherwise indicated for your region.
  • Payments are due at the beginning of each billing cycle and are non-refundable unless otherwise required by applicable law.
  • We reserve the right to change subscription pricing with at least 30 days' prior written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
  • Failure to make timely payments may result in suspension or downgrade of your account.
  • Applicable taxes and fees are your responsibility and will be added to your subscription charges where required by law.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service in any way that violates any applicable local, national, or international law or regulation.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems connected to the Service.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Transmit any viruses, malware, or other malicious code through the Service.
  • Use the Service to store or transmit content that infringes upon any third party's intellectual property rights.
  • Share, resell, or sublicense your access to the Service without our prior written consent.
  • Use automated scripts, bots, or scrapers to access or interact with the Service without authorization.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

6. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, icons, and other content, is the exclusive property of Seamlabs Technology (ShopBrain) and is protected by applicable copyright, trademark, and other intellectual property laws.

  • We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.
  • You retain ownership of all data and content you upload to the platform. By uploading content, you grant us a limited license to process and display it as necessary to provide the Service.
  • No part of the Service may be copied, reproduced, distributed, or used to create derivative works without our express written permission.

7. Data & Privacy

Your privacy is important to us. Our collection, use, and protection of your personal and business data is governed by our Privacy Policy, which is available at:

By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the data practices described therein.

  • We implement industry-standard security measures to protect your data, including encryption at rest and in transit.
  • You are responsible for ensuring that any data you upload to the platform complies with applicable data protection laws.
  • We may use aggregated, anonymized data to improve our Service and develop new features.

8. Service Availability & SLA

We strive to maintain high availability and reliability of the Service. However:

  • We target 99.9% uptime for the Service, excluding scheduled maintenance windows.
  • Scheduled maintenance will be communicated to you in advance whenever reasonably possible.
  • We do not guarantee uninterrupted, error-free, or completely secure access to the Service at all times.
  • We are not liable for any downtime or service interruptions caused by factors outside our reasonable control, including internet outages, force majeure events, or third-party service failures.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
  • ShopBrain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
  • You acknowledge that the Service relies on AI and machine learning technologies for features such as forecasting and recommendations, and that such outputs are advisory in nature and should not be the sole basis for business decisions.

10. Termination

Either party may terminate the use of the Service as follows:

  • You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle.
  • We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to make required payments, or engage in conduct that we reasonably believe is harmful to ShopBrain or other users.
  • Upon termination, your right to access the Service ceases immediately. We will retain your data for 90 days after termination, during which you may request an export. After this period, your data will be permanently deleted.
  • Sections relating to intellectual property, limitation of liability, governing law, and any other provisions intended to survive termination shall remain in effect.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Post the updated Terms on our website with a revised "Last Updated" date.
  • Notify you via email or through an in-app notification at least 30 days before the changes take effect.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts in Egypt. Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
